Terms of Service

1. Agreement

These Terms of Service (the “Terms”) constitute a binding agreement between you and Katalog Software (“Katalog,” “we,” “our,” or “us”), the operator of the Katalog platform (the “Platform”). These Terms set forth the conditions regarding your access to and use of the Platform.

By accessing or using the Platform in any manner, you agree to be bound by these Terms.

If you are using the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. In such cases, “you” and “your” will refer to both you as an individual and the organisation.

2. Modification

Katalog reserves the right, at its sole discretion, to modify these Terms at any time and without prior notice. The date of the last modification will be posted at the beginning of these Terms. It is your responsibility to check for updates periodically. By continuing to access or use the Platform, you indicate your agreement to the modified Terms.

3. Privacy

These Terms include the provisions in this document, as well as those in our Privacy Policy.

4. Acceptable Use

Katalog grants you permission to access and use the Platform, provided such use is in compliance with these Terms. You specifically agree that your use will adhere to the following restrictions and obligations:

  • You may only use the Platform for lawful purposes and in accordance with these Terms.
  • You may not transfer your access to others or allow others to access the Platform through your own account.
  • You may not decompile, reverse engineer, or otherwise attempt to obtain the source code or underlying ideas or information of or relating to the Platform.
  • You may not introduce viruses, worms, or other malicious code to the Platform.
  • You may not circumvent, disable, or otherwise interfere with security-related features of the Platform.
  • You may not remove or obscure any copyright, trademark, or other proprietary notices from the Platform or its content.

5. User Accounts

You may create an account by providing your email address or by using a third-party authentication provider (such as Google). The information you provide will be handled in accordance with our Privacy Policy.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Katalog immediately of any unauthorised use of your account or any other breach of security.

If you wish to terminate your account, please follow the procedures set forth in our Privacy Policy.

You may not transfer your account to anyone else without our prior written permission.

6. User Content

You retain ownership of any content you submit, upload, or create on the Platform, including saved links, audio narrations, and collections (“User Content”). By submitting User Content, you grant Katalog a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, display, and distribute your User Content solely for the purpose of operating and improving the Platform.

You are solely responsible for your User Content and the consequences of sharing it. You represent and warrant that you have all rights necessary to submit your User Content and that it does not infringe any third-party rights.

7. Third Party Services

The Platform may integrate with or allow you to use third-party services (such as browser extensions or audio generation tools). Your use of any third-party service is subject to a separate agreement between you and the third-party provider. Katalog does not control and is not responsible for the content, operation, or use of any third-party services. KATALOG HEREBY DISCLAIMS ALL LIABILITY AND RESPONSIBILITY FOR ANY THIRD-PARTY SERVICES AND FOR THE ACTS OR OMISSIONS OF ANY THIRD-PARTY PROVIDERS.

8. Feedback

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Platform (“Feedback”). You agree that Katalog may use such Feedback without any obligation to provide you credit, compensation, or ownership interest.

9. Termination

Katalog may immediately and without notice terminate these Terms and disable your access to the Platform if, in our sole discretion, you have breached these Terms or violated applicable laws or third-party rights.

Provisions that, by their nature, should survive termination of these Terms shall survive termination, including but not limited to terms regarding ownership, intellectual property, disclaimers, and limitations of liability.

10. Disclaimer of Warranties

YOU ACKNOWLEDGE THAT YOU USE THE PLATFORM AT YOUR OWN RISK. THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS,” AND KATALOG, ITS AFFILIATES, AND THIRD-PARTY SERVICE PROVIDERS HEREBY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, RELIABILITY, MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. KATALOG DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KATALOG AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

12. Notices

Any notices or other communications permitted or required hereunder will be in writing and given by Katalog (a) via email (to the address you provide) or (b) by posting to the Platform.

13. No Waiver

The failure of Katalog to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.

14. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Katalog’s prior written consent. Katalog may assign or transfer these Terms at its sole discretion without restriction.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

16. Governing Law; Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. You and Katalog agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising out of or relating to these Terms or the Platform.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Katalog regarding your use of the Platform and supersede all prior agreements.
